Please read these Terms of Service ("Terms") carefully before using the website at www.deliveryweb.co.uk or engaging the services of DeliveryWeb Ltd ("DeliveryWeb", "we", "us", "our").

By accessing our website or entering into a service agreement with us, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services

DeliveryWeb provides web design, web development, CRM implementation, e-commerce, SEO, and website maintenance services ("Services"). The specific scope, deliverables, timeline, and fees for any project will be set out in a separate Statement of Work ("SOW") or project proposal agreed between DeliveryWeb and the client.

3. Proposals and Project Commencement

• All proposals are valid for 30 days from the date of issue.
• Projects commence upon receipt of a signed SOW and the agreed deposit payment.
• Verbal agreements do not constitute a binding contract.

4. Payment Terms

• A deposit of 50% of the total project fee is required before work begins.
• The remaining balance is due upon project completion and before final files or live site handover.
• Invoices are payable within 14 days of issue unless otherwise agreed in writing.
• Late payments will incur interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
• All prices are exclusive of VAT, which will be applied at the prevailing rate.

5. Client Responsibilities

To enable us to deliver the Services, you agree to:

• Provide all required content (text, images, logos, brand guidelines) within agreed timescales.
• Provide timely feedback at each review stage (typically within 5 business days).
• Nominate a single point of contact with authority to approve deliverables.
• Ensure all content and materials you provide are owned by you or properly licensed.

6. Revisions and Scope Changes

Our proposals include a defined number of revision rounds. Requests that fall outside the agreed scope will be quoted separately and require written approval before additional work commences. Significant scope changes may also affect the project timeline.

7. Intellectual Property

• Upon receipt of full payment, ownership of the final website design and custom code created specifically for your project transfers to you.
• We retain ownership of any pre-existing code libraries, tools, or frameworks used in the build.
• We reserve the right to display completed work in our portfolio unless you request otherwise in writing.
• Third-party assets (stock photography, fonts, plugins) are subject to their own licence terms, which we will identify during the project.

8. Warranties and Limitation of Liability

We warrant that the Services will be performed with reasonable skill and care in accordance with industry standards. We do not guarantee specific search engine rankings, sales results, or revenue outcomes.

Our total liability to you for any claim arising out of or in connection with these Terms or the Services will not exceed the total fees paid by you in the 12 months preceding the claim.

We are not liable for indirect, consequential, or special losses including loss of profits, loss of data, or loss of business.

9. Cancellation

• You may cancel a project at any time by written notice.
• Work completed up to the point of cancellation will be invoiced at our standard day rate.
• The initial deposit is non-refundable.
• We reserve the right to terminate a project if payment is overdue by more than 30 days.

10. Confidentiality

Both parties agree to keep confidential any information shared during the course of the project that is designated as confidential or is clearly of a sensitive commercial nature. This obligation survives termination of the agreement.

11. Website Use

You agree not to use this website to:

• Transmit any unlawful, defamatory, or harmful content
• Attempt to gain unauthorised access to any part of our systems
• Harvest data or use automated scraping tools

12. Third-Party Links

Our website may contain links to third-party websites. These are provided for your convenience only. We have no control over those sites and accept no responsibility for them or for any loss or damage arising from your use of them.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
